1. Who we are and what these terms cover

OmnisWP is the trading name of Jason Climo, a sole trader based in New Zealand (“OmnisWP”, “we”, “us”). These terms apply to:

  • the omniswp.com website;
  • our WordPress software: Siteward (the dashboard), Siteward Child, Siteward Advanced Child, Siteward Pro and its add-ons (including Siteward Reports and Siteward MCP), and Eventward (together, the “Software”);
  • the online services we run for the Software: licence checks, software updates and downloads, the vulnerability data feed, the Stripe connection service used by Eventward, and support (together, the “Services”).

By downloading, installing or using the Software or the Services, or by buying a plan, you agree to these terms. If you use them for an organisation, you confirm you are allowed to accept these terms for it, and “you” means that organisation. If you don’t agree, please don’t use them.

2. Built for businesses

The Software and Services are made for businesses, such as agencies, freelancers and site owners managing websites in trade. By buying a plan you confirm you are acquiring it for the purposes of a business.

Where you are in New Zealand and acquire a plan for business purposes, you and we agree that the Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply to the extent permitted by section 5C of that Act. We both agree this is fair and reasonable given the nature of the Software, its price and that it is supplied to and acquired by businesses.

If you are a consumer under the law that applies to you (for example the Australian Consumer Law, or consumer law in the UK or the European Union), nothing in these terms takes away rights that law gives you and that cannot be excluded.

3. The software licence

The Software is free software, licensed under the GNU General Public License (GPL), version 2 or later, like WordPress itself. The GPL governs what you may do with the code, and nothing in these terms restricts the rights it gives you.

A paid plan gives you something separate from the code: a licence key that unlocks access to our Services for paid features, namely updates and downloads of Siteward Pro and its add-ons, licence checks, and support, for the term of your plan. The licence key, the Services and our names and logos are not covered by the GPL.

  • Keep your licence key to yourself and your organisation. Don’t share, sell or publish it.
  • Each plan covers the number of Siteward dashboards stated for it. A dashboard can manage unlimited sites.
  • “Siteward”, “Eventward” and “OmnisWP” are our trading names. Don’t use them in a way that suggests we made, endorse or support something we didn’t.

4. Plans, payment and renewal

Lemon Squeezy sells our paid plans as Merchant of Record: it is the seller to you, takes payment, and calculates and collects sales tax, VAT or GST where required. Its buyer terms apply to the purchase alongside these terms. Prices are shown in US dollars.

  • Agency is a subscription, billed monthly or yearly. It renews automatically at the end of each period until you cancel. A free trial, where offered, becomes a paid subscription at the end of the trial unless you cancel before then.
  • Cancelling: you can cancel at any time in the Lemon Squeezy customer portal, linked from your receipt email. Cancelling stops the next renewal; your plan stays active until the end of the period you have paid for. You will get a reminder email before a yearly subscription renews.
  • Price changes: we will tell you at least 30 days before a new price applies to your subscription. It applies from your next renewal, and you can cancel before then.
  • Lifetime is a one-time payment for a licence key that does not expire. “Lifetime” means for as long as we offer Siteward Pro, not the lifetime of a person or business. If we ever stop developing Siteward Pro, we will give Lifetime customers at least 90 days’ notice, and the Software you have keeps working under its GPL licence.

5. Refunds

If Siteward isn’t right for you, email privacy@omniswp.com within 14 days of your first payment for a plan (or of the first charge after a free trial) and we will refund it. Lemon Squeezy processes refunds. Renewals are not refunded once the new period has started, except where the law requires it or as set out in section 17. Nothing in this section limits any refund right you have by law.

6. Using the Software and Services properly

You agree not to:

  • use the Software or Services in breach of any law, or to harm others;
  • connect or manage a website you are not authorised to manage;
  • get around licence checks or use another person’s licence key to obtain paid Services;
  • overload, probe or attack the Services, or access them by automated means other than through the Software as designed;
  • resell or provide the Services to others as a service of your own, other than managing your clients’ websites with them.

7. Your responsibilities

The Software is self-hosted: it runs on your servers, under your control. You are responsible for:

  • your servers, hosting, security, and the sites you connect;
  • keeping current backups and testing updates before relying on them;
  • the changes you make, or approve, to your sites, including updates, plugin installs, and changes made through the AI features;
  • your clients’ websites and the personal data on them. When you use the Software to manage those sites you decide how that data is handled, and you are responsible for having the authority and any notices or agreements your clients and the law require. That data stays on your servers: we do not receive it or process it for you, except as described in our Privacy Policy;
  • any reports, alerts or emails the Software sends to your clients, and having their agreement to receive them.

8. Our Services

We aim to keep the Services available, but they are provided on a best-efforts basis with no guaranteed uptime. We may change or improve them. If we make a change that materially reduces what a paid plan includes, we will tell you first, and you may cancel and receive a pro-rata refund for any prepaid period you have not used. We may suspend a Service briefly for maintenance or security.

Monitoring, uptime checks and alerts help you find problems sooner. They cannot detect every problem, and alerts can be delayed or not delivered (for example by your email or webhook provider). Don’t rely on them as your only safeguard.

9. Vulnerability information

The vulnerability data in Siteward comes from the Wordfence Intelligence vulnerability database by Defiant, Inc., under its licence; each entry links to its source. It is provided for information. It may be incomplete, delayed or wrong, a site can be at risk from issues no database lists, and it is not security advice. Check the source before acting on it.

10. AI features (Siteward MCP)

Siteward MCP lets an AI assistant you choose, such as ChatGPT or Claude, use your Siteward dashboard. If you use it:

  • You choose the AI provider and connect it yourself. What the AI reads through your dashboard (information about your sites, and anything your sites’ abilities return) is sent to that provider under your own agreement with them. We are not a party to that agreement and don’t receive that data.
  • AI makes mistakes. It can misread information, follow misleading text it finds on a site, or propose wrong changes. Review what it does, and approve changes only when you are satisfied they are right. Changes are made under the permissions you set, and you are responsible for them.
  • Experimental and beta features, including child theme file editing and sign-in for web connectors, are offered for testing. They may change, behave unexpectedly or be removed. Use them on sites in development with current backups.

11. Third-party services

The Software and Services work with services run by others, including WordPress.org, Lemon Squeezy, Stripe (for Eventward), Google (if you connect Google Analytics to Siteward Reports), domain registration data services (for domain expiry checks), AI providers and your own hosting and email providers. Their terms govern your use of them, and we are not responsible for them or for their availability.

12. Warranties

To the extent the law allows, the Software and Services are provided “as is” and “as available”. We don’t promise they will be uninterrupted, error-free or suitable for a particular purpose, or that they will prevent every outage, security incident or loss of data. This doesn’t affect any guarantee or warranty that the law says cannot be excluded.

13. Limits on our liability

To the extent the law allows:

  • we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, contracts, goodwill or data, or the cost of restoring data or websites, however it arises;
  • we are not liable for loss caused by your sites, servers, hosting or other software, by third-party services, by changes you make or approve (including through AI features), or by your not keeping backups or testing updates;
  • the free Software is provided at no charge and without warranty, as the GPL sets out, and we have no liability for it beyond the amount in the next point;
  • our total liability to you for all claims arising from the Software, the Services or these terms, whether in contract, negligence, under statute or otherwise, is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US$100;
  • any claim must be brought within 12 months of the date you became aware, or should reasonably have become aware, of it.

Where the law does not allow a guarantee to be excluded but allows our liability to be limited (for example under the Australian Consumer Law for goods or services not ordinarily acquired for personal use), our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be limited by law.

These limits apply because the Software is offered free or at a low price, is self-hosted and runs under your control, and they are reflected in that price. They also apply to anyone working with us or on our behalf.

14. Indemnity

If you use the Software or Services for a business, you agree to cover our reasonable losses and costs from claims by third parties (including your clients) to the extent they arise from your sites, your content, your breach of these terms or the law, or changes made to sites under your control, including through AI features. This does not apply to the extent a claim is caused by our own breach or negligence.

15. Suspension and ending

You may stop using the Software and Services at any time. We may suspend or end your access to the Services, including deactivating a licence key, if you seriously or repeatedly breach these terms, use the Services fraudulently, or put the Services or others at risk. Where it is reasonable, we will tell you first and give you a chance to put things right. If we end a paid plan for a reason other than your breach, we will refund any prepaid period you have not used.

The parts of these terms that by their nature continue after access ends, such as sections 12 to 14, 18 and 19, continue to apply.

16. Events beyond our control

We are not responsible for delay or failure caused by events beyond our reasonable control, such as outages at hosting or network providers, attacks, natural disasters or government action.

17. Changes to these terms

We may update these terms, for example when we add features or the law changes. If a change materially affects paid customers, we will tell you by email or in the Software at least 30 days before it takes effect. If you don’t agree with it, you can cancel before it takes effect and we will refund any prepaid period you have not used. Other changes take effect when published here, and the date above shows the current version.

18. No advice, and no one else can rely on these terms

Support, documentation, guides and answers we give are general information to help you use the Software, not professional, security or legal advice, and you remain responsible for deciding what to do. These terms are only between you and us. Apart from people working with us or on our behalf, who may rely on section 13, no one else, including your clients, can enforce them or claim against us under them.

19. Law and disputes

These terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and may bring a claim there. If something goes wrong, please contact us first: most problems can be solved quickly by email.

20. General

These terms, together with the Privacy Policy and any order terms shown at checkout, are the whole agreement between us about their subject. If any part is found unenforceable, the rest still applies. If we don’t enforce a right straight away, we can still enforce it later. You may not transfer your plan without our agreement; we may transfer our rights and obligations to a business that takes over the Software, and will tell you if we do. You agree not to use the Software or Services where that would breach trade sanctions or export laws that apply to you or to us.
